AGREEMENT

This Agreement sets forth the Standard Terms and Conditions that apply to subscriber use of the RPMworld game and www.rpmworld.com web site.

YOUR USE OF THE RPMworld(TM) SERVICES INDICATES YOUR AGREEMENT TO BE BOUND BY THESE TERMS OF SERVICE.
These Terms of Service form independent agreements between User and Rendition Multimedia, Inc. The Parties shall be liable to the other for any breach of these Terms of Service, and User agrees that User's sole recourse in case of such breach shall be against the breaching party.

TERMS AND CONDITIONS

You agree to familiarize yourself with the Terms of Service, and abide by them if you choose to use the web site, play a game or accept the products, services or benefits, to which such terms apply.

MEMBER CONDUCT

You agree to abide by all applicable local, state, national and international laws and regulations and are solely responsible for all acts or omissions that occur under your account or password, including the content of your transmissions through RPMworld(TM)'s Web Sites, games or products.

CONTENTS OF MESSAGES

Rendition Multimedia, Inc. does not, and cannot, monitor, censor or edit the contents of Users' messages. Users alone are responsible for the contents of their messages and the consequences of any such messages. You agree that you will not use RPMworld(TM) for chain letters, junk mail, spamming, solicitations (commercial or noncommercial) or any use of distribution lists to any person who has not given specific permission to be included in such a process. You further agree not to use RPMworld(TM) to send any messages or material that are unlawful, harassing, libelous, abusive, threatening, harmful, vulgar, obscene or otherwise constitute a criminal offense, give rise to civil liability or otherwise objectionable material of any kind or nature or that encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or international law or regulation. RPMworld(TM) reserves the right to terminate User's account if it becomes aware and determines, in its sole discretion, that User is violating any of the foregoing guidelines.

CHAT ROOM

RPMworld(TM) specifically disclaims liability for damages to any person resulting from the use of the "Chat Room." Further, by being a participant in the RPMworld "Chat Room" the participant agrees to hold Rendition Multimedia, Inc. (and any of our affiliates) harmless from damages caused to or by yourself or another participant. RPMworld recommends that all advice received in our "Chat Room" be appropriately researched. We make no assurances or will take no responsibility with regard to content or information offered anywhere within our site, including the "Chat Room." Chat room participants are strongly cautioned against giving out an email address, or instant messenger address to other RPMworld players. Visitors/Guests should never use this medium to send inappropriate or illegal messages. Subjects that are inappropriate or illegal include, but are not limited to, inflammatory comments about anyone or anything, the offer or solicitation to transmit electronic files for the purpose of compromising the security of any computer system or network, the reproduction of copyrighted material, personal statements of a defamatory or discriminatory nature, sexual remarks, or anything that is considered illegal in any place where messages in the "Chat Room" may originate or be read/accessed from, sent to, or otherwise nasty or foul language is also highly discouraged. Should inappropriate or illegal transmissions be made or received, or complaints be made or received, the Webmaster will be notified immediately, and will take any and all appropriate actions, including the notification of any and all necessary law enforcement authorities. Access to the chat room is only granted to players that have identified themselves to RPMworld by using a credit card to pay for "credits" using the approved PayPal link provided in the game, and the payment was received after January 17, 2003. Also note that a complete log file of any and all communications that occur in this "Chat Room" may be kept for a period of up to two years for the purpose of determining unlawful conduct or behavior that violates this agreement. Similar file records may be kept regarding any and all transmissions sent or received via email or any and all other electronic means, including all user login and password information, login and logoff times, referring URLs and IP addresses, and behavior patterns. We do hope that, when used properly and under the above guidelines, the RPMworld computer game, webs site, and "Chat Room" can be fun and enjoyable for all people who use it.

ACCOUNT AND PASSWORD

You are responsible for maintaining the confidentiality of your account name and password. You shall be responsible for all uses of your account, whether or not authorized by you. You agree to immediately notify RPMworld(TM) of any unauthorized use or modification of your account. Only one account may be created per individual. If an individual is determined to have created multiple accounts for the purpose of receiving additional Free trial offers of 25 credits, all accounts may be terminated at the sole discretion of Rendition Multimedia, Inc. If an email address is found at any time to be invalid, the user account associated with that address will be removed from the system, rendering it unusable.

SOFTWARE UPDATES

From time to time the RPMworld software may be revised in the interest of improving the product. Upon the release of a new software revision, all previous versions of the RPMworld game may be rendered obsolete and incapable of accessing the database for the purpose of logging in a user. Users will be instructed to download the latest version of RPMworld and directed to the appropriate link on the World Wide Web. Users must comply with the request to download the latest version if the user wishes to continue using their RPMworld account. In cases where the new version does not function properly on the user's computer, a refund may be provided for the unused portion of the latest purchase. Refunds are given at the sole discretion of Rendition Multimedia, Inc.

LINKS

The links on the RPMworld(TM) Web Site may let you leave the RPMworld(TM) Web Site and other sites have links to RPMworld(TM) content. You acknowledge that the linked sites are not under the control of RPMworld(TM) and RPMworld(TM) is not responsible for the contents or operation of any linked site or any link contained in a linked site, or any changes or any updates of such sites. RPMworld(TM) is not responsible for web casting or any other form of transmission received from any linked site. RPMworld(TM) is providing these links to you only as a convenience, and the inclusion of any link does not imply endorsement by RPMworld(TM) of the linked site or any association with their operators.

UNLAWFUL OR PROHIBITED USE

As a condition of your use of the RPMworld(TM) software, you warrant to RPMworld(TM) that you will not use the RPMworld(TM) software or Web Site for any unlawful purpose. In addition, you may not link the RPMworld(TM) Web Site, or the game, to any site containing content that is profane, defamatory, infringing, obscene, indecent or otherwise unlawful or that contains material or information that violate any applicable intellectual property, proprietary, privacy or publicity rights. Any attempt to reverse-engineer, decompile, or view the source code of the RPMworld game is strictly prohibited. Engaging in these activities will result in immediate termination of a user account, banning of that user's IP address and or computer hardware from accessing the game and/or web site. Any attempt to provide software that is derived from RPMworld code, audio, or graphics is in violation of copyright law, and is grounds for prosecution.

RIGHTS GRANTED TO RPMworld(TM)

RPMworld(TM) is under no obligation to post or use any materials you may provide, and may remove such materials at any time in RPMworld(TM)'s sole discretion.

RELATIONSHIP OF THE PARTIES

Nothing contained in this Agreement shall be construed as creating any agency, legal representative, partnership, or other form of joint enterprise between the parties. Neither party shall have authority to contract for or bind the other in any manner whatsoever.

DISCLAIMER OF WARRANTIES/LIMITATION OF LIABILITY

THE RPMworld(TM) SERVICE PROVIDED IS PROVIDED ON AN AS IS, AS AVAILABLE BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. RPMworld(TM) EXPRESSLY DISCLAIMS ANY REPRESENTATION OR WARRANTY THAT THE RPMworld(TM) SERVICE WILL BE ERROR-FREE, TIMELY, SECURE OR UNINTERRUPTED. NO ORAL ADVICE OR WRITTEN INFORMATION GIVEN BY RPMworld(TM), ITS EMPLOYEES, LICENSORS OR AGENTS WILL CREATE A WARRANTY; NOR MAY YOU RELY ON ANY SUCH INFORMATION OR ADVICE.

UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, WILL RPMworld(TM), OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES THAT RESULT FROM THE USE OF OR INABILITY TO USE THE RPMworld(TM) SERVICE, INCLUDING BUT NOT LIMITED TO RELIANCE ON ANY INFORMATION OBTAINED ON THE RPMworld(TM) SERVICE; OR THAT RESULT FROM MISTAKES, OMISSIONS, INTERRUPTIONS, DELETION OF FILES OR E-MAIL, LOSS OF OR DAMAGE TO DATA, ERRORS, DEFECTS, SECURITY BREACHES, UNAUTHORIZED MANIPULATION OF USER ACCOUNTS, VIRUSES, DELAYS IN OPERATION, OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT LIMITED TO ACTS OF GOD, COMMUNICATION FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO RPMworld(TM) RECORDS, PROGRAMS OR SERVICES. THE SUBSCRIBER HEREBY ACKNOWLEDGES THAT THIS PROVISION WILL APPLY WHETHER OR NOT RPMworld(TM) IS GIVEN NOTICE OF THE POSSIBILITY OF SUCH DAMAGES AND THAT THIS PROVISION WILL APPLY TO ALL CONTENT, MERCHANDISE OR SERVICES AVAILABLE FROM RPMworld(TM) AND ITS AFFILIATES.

THE TERMS OF THIS SECTION SHALL SURVIVE THE TERMINATION OF THIS AGREEMENT FOR WHATEVER REASON.

ACCESS RESTRICTION

RPMworld(TM) reserves the right to deny in its sole discretion any user access to the RPMworld(TM) software, Web Site or any portion thereof without notice and without the possibility of refund, if that user is deemed to have violated this agreement. You are responsible for safeguarding the confidentiality of your password(s) and user name(s) issued to you by RPMworld(TM), and for any use or misuse of your account or the RPMworld(TM) software or Web Site resulting from any third party using a password or user name issued to you.

ACCOUNT EXPIRATION

In the interest of software performance, the RPMworld database will occasionally be purged of inactive user accounts. A user account will be deemed inactive if the user has failed to login to that account for a period of 60 days. This policy also applies to accounts in which the user has paid for credits.

REFUND POLICY

RPMworld(TM) may refund payments at the sole discretion of Rendition Multimedia, Inc. Requests for refunds must include the original PayPal transaction ID number. Refund requests must also include a complete description of an access or login problem associated with the RPMworld game, including user's operating system, browser version, Internet service provider (i.e. AOL, Earthlink, local ISP, cable modem provider, etc.), and time of day. Please use the technical support page to submit a tech support issue when requesting a refund.

TECHNICAL SUPPORT

Technical support is available online at http://www.rpmworld.com and through a link in the game. These technical support resources are provided in the interest of identifying and resolving situations that detract from, or deny the ability to engage and derive pleasure from the RPMworld game. Not all technical support requests will receive a response from a technical support representative. Priority will be given to issues involving credits purchased via PayPal, and conditions blocking the login or participation in the RPMworld game. Users may be contacted at the email address provided when the user account was created.

USER'S INFORMATION

You will occasionally receive email from RPMworld(TM) describing new features in the game, or important announcements about the game. If you unsubscribe to this newsletter you will be removed until the next time you login to the game, regardless of whether or not you have paid. Participation in the RPMworld game requires that we also have the ability to contact you by email. If you do not accept this condition, you may unsubscribe from our mailing list using the link in any email we send you, AND discontinue use of the RPMworld game.

Efforts have been made to prohibit profane user names, but you may still see user names which you consider offensive. You may report these names using the tech support link. Names considered to be racially offensive, or inflammatory toward any person, will be disabled.

You may offer the game as a download from your Web Site. This does not, however, create a relationship between your Web Site and Rendition Multimedia, Inc., nor does Rendition Multimedia grant you any rights or warranties in regards to the game.

ACKNOWLEDGMENTS

You hereby acknowledge (i) that the RPMworld(TM) game requires electronic data, including, but not limited to, virtual cars, virtual car parts, score, credits, statistics and points (Online Data), be stored by the game for your use. You hereby agree and acknowledge that RPMworld(TM) shall not have any liability to You for the loss of Online Data for any reason whatsoever, including, but not limited to server failure, telephonic interruptions of any kind, defects, viruses or other harmful components, hackers, hardware malfunction, and negligent acts of RPMworld(TM) and/or its affiliates.

PAYMENT

When playing the game, your first 25 races are free. From that point forward, you must pay to access the race track feature in the game. Payment for "credits" can be made only with the RPMworld, PayPal-enabled shopping cart, available through the game interface. The credits are used at the rate of one credit per race, and can be exchanged for points if desired.

COPYRIGHT AND TRADEMARKS

All contents of the RPMworld(TM) software and Web Site are proprietary to Rendition Multimedia, Inc., and/or its suppliers and are protected under Copyright. All rights are reserved. RPMworld(TM) reserves any rights not expressly granted herein.

PROMOTIONAL MESSAGES

RPMworld(TM) and/or third parties may, from time to time, send e-mail messages to Users containing advertisements, promotions, etc. Such e-mail will be sent to mailbox(es) as submitted by User upon sign up. RPMworld(TM) does not make any representation or warranty with respect to the content of any such e-mail messages or any goods or services which may be obtained from such third parties, and User agrees that RPMworld(TM) shall not have any liability with respect thereto.

TERMINATION

RPMworld(TM) may terminate this agreement and your access to any or all RPMworld(TM) related services at any time, with or without cause, effective immediately. Anyone determined by RPMworld(TM) to have violated these Terms and Conditions may be barred from playing the game, or from receiving any products, services or benefits from RPMworld(TM) without the opportunity for refund of any purchases made over the entire life of the account in question.

GOVERNING LAW

Illinois law shall govern this Agreement, and any dispute arising from the relationship between the parties to this Agreement, excluding any laws that direct the application of another jurisdiction's laws. In any litigation, arbitration, or other proceeding by which one party either seeks to enforce its rights under this Agreement (whether in contract, tort, or both) or seeks a declaration of any rights or obligations under this Agreement, the prevailing party shall be awarded its reasonable attorney fees, and cost and expenses incurred, subject to the Limitation of Liabilities clause. The parties consent to the exclusive jurisdiction and venue of the courts of the State of Illinois or to any Federal Court located within the State of Illinois.

ARBITRATION

The parties to this agreement agree to be governed by the laws of Illinois which is the proper jurisdiction for any disputes, which shall be resolved in arbitration before the American Arbitration Association. The prevailing party from arbitration shall be entitled to reasonable attorney's fees, which shall be set forth by the arbitrator(s). Judgment upon the award rendered may be entered in any court in the state of Illinois with jurisdiction. The decision of the arbitrator shall be final and binding on the parties. The parties shall bear equally all fees, costs and expenses of the arbitration, and each party shall bear its own legal expenses, attorneys fees, and costs of all experts and witnesses, provided, however, the arbitration panel may apportion between the parties, as said arbitrator may deem equitable, the cost incurred by either party.

SEVERABILITY

If any provisions of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid or enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

SURVIVABILITY

The terms of this Agreement apply to those obligations that survive any cancellation, termination, or rescission, namely - confidentiality/non-disclosure, warranty, indemnification, liability and limits thereon, rights and obligations upon and following termination and assignment.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless RPMworld(TM), Rendition Multimedia, Inc. against any and all claims, losses, liability costs and expenses (including but not limited to reasonable attorneys' fees) arising from your violation of these Terms and Conditions or any third-party's rights, (including, without limitation, infringement of any copyright trademark, service mark, trade secrets, right of privacy or publicity or any other third party right). The terms of this section shall survive the termination of your relationship with RPMworld(TM).

ENTIRE AGREEMENT

Unless otherwise specified herein, this Agreement constitutes the complete and exclusive statement of the Agreement between the parties regarding the products and services provided hereunder, and supercedes any prior Agreements between the parties with respect thereto.

MODIFICATION OF TERMS

Rendition Multimedia, Inc. reserves the right to modify this policy at any time and without advance notice, effective upon making the modified provisions available through a link in the RPMworld(TM) game software or Web Site at www.rpmworld.com. You are responsible for regularly reviewing these documents. Continued use of the RPMworld(TM) software or Web Site after any such changes shall constitute your consent to such changes. Rendition Multimedia does not, and will not, assume any obligation to notify you of any changes to the Terms of Service Policy.
